Terms of Service

1. Acceptance of Terms

By accessing or using shopspace ("the Platform"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Platform. Creating an account constitutes acceptance of these terms.

2. Description of Service

shopspace is a platform that enables creators ("Sellers") to build online storefronts and sell digital and physical products, memberships, courses, bookings, and other offerings to their customers ("Buyers"). shopspace provides the technology infrastructure but does not participate in, endorse, or guarantee any transaction between Sellers and Buyers.

3. Account Responsibilities

You are responsible for maintaining the security of your account credentials. You are fully responsible for all activities that occur under your account. shopspace is not liable for any loss or damage arising from unauthorized use of your account.

4. Seller Responsibilities

Sellers are solely responsible for:

• The accuracy, legality, and quality of all products, content, and services they offer
• Compliance with all applicable laws, regulations, and tax obligations in their jurisdiction
• Fulfillment of orders, delivery of products, and customer support
• Setting and honoring refund policies
• Ensuring they have the right to sell the products and content they offer
• Any claims, disputes, or chargebacks initiated by their customers

shopspace acts solely as a technology provider and is not a party to any transaction between Sellers and Buyers.

5. Buyer Acknowledgment

Buyers acknowledge that:

• All purchases are made directly from the Seller, not from shopspace
• shopspace does not verify, endorse, or guarantee any product or service offered by Sellers
• Refund and return policies are set by individual Sellers
• Any disputes regarding purchases must be resolved directly with the Seller

6. Payments

Payments are processed by Stripe, a third-party payment processor. shopspace does not store credit card information and is not responsible for payment processing errors, failed transactions, or disputes handled by Stripe. Sellers receive payments directly to their connected Stripe accounts.

7. Prohibited Activities

You may not use shopspace to:

• Sell illegal, fraudulent, or counterfeit products or services
• Engage in scams, phishing, or deceptive practices
• Distribute malware, viruses, or harmful content
• Infringe on intellectual property rights of others
• Harass, abuse, or harm other users
• Violate any applicable laws or regulations

shopspace reserves the right to suspend or terminate any account engaged in prohibited activities without notice or refund.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHOPSPACE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, data, or business opportunities
• Damages resulting from transactions between Sellers and Buyers
• Losses due to service interruptions, downtime, bugs, or errors
• Damages arising from unauthorized access to your account
• Losses resulting from fraudulent or misleading products sold by Sellers
• Any damages exceeding the amount you paid to shopspace (if any) in the 12 months preceding the claim

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Indemnification

You agree to indemnify, defend, and hold harmless shopspace and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from:

• Your use of the Platform
• Your violation of these Terms
• Products or services you sell through the Platform
• Any dispute between you and a Buyer or Seller
• Your violation of any applicable law or third-party rights

10. Service Availability

shopspace does not guarantee uninterrupted or error-free service. The Platform may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. shopspace is not liable for any losses resulting from service interruptions.

11. Content and Intellectual Property

Sellers retain ownership of all content they upload to the Platform. By uploading content, you grant shopspace a limited, non-exclusive license to display and distribute that content solely for the purpose of operating the Platform. shopspace does not claim ownership of your content.

12. Account Termination

shopspace may suspend or terminate your account at any time, for any reason, with or without notice. Upon termination, your right to use the Platform ceases immediately. shopspace is not liable for any losses resulting from account termination.

13. Dispute Resolution

Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the applicable jurisdiction. You waive any right to participate in class action lawsuits against shopspace.

14. Changes to Terms

shopspace reserves the right to modify these Terms at any time. Continued use of the Platform after changes constitutes acceptance of the updated Terms. Material changes will be communicated via email or through the Platform.
